8. Intellectual Property

10. Limitation of Liability
To the maximum extent permitted by law, Energy Marketplace shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability shall not exceed amounts paid by you in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Energy Marketplace, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.
12. Modifications to Services
We may modify, suspend, or discontinue any part of the Platform at any time without liability.
13. Geographic Restrictions
The Platform is intended for users in the United States. International users are responsible for compliance with local laws.
14. Termination

15. Governing Law & Venue
These Terms are governed by Texas law. Any disputes shall be resolved exclusively in state or federal courts located in Houston, Texas.
16. Limitation on Claims
Any claim arising from these Terms must be filed within one year of the cause of action.
17. Waiver and Severability
Our failure to enforce any provision does not waive our right to do so. If any provision is found unenforceable, the remaining provisions remain in effect.
18. Changes to Terms
We may update these Terms at any time. Changes will be posted with a new effective date. Continued use constitutes acceptance.
19. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Energy Marketplace.
